Affiliate Membership Agreement

Direct seller agreement under the Consumer Protection (Direct Selling) Rules, 2021

1. Parties

This agreement is between BharatOne Services and Affiliates Private Limited ("the Company"), and the person named in the accompanying Affiliate Membership Registration Form ("the Affiliate Member"). The Affiliate Member is a "direct seller", and the Company is a "direct selling entity", within the meaning of the Consumer Protection (Direct Selling) Rules, 2021.

2. Relationship

The Affiliate Member is an independent contractor and not an employee, legal representative, partner or franchisee of the Company, and has no authority to bind the Company. The Affiliate Member works at their own discretion and bears their own expenses.

3. No joining fee, no purchase requirement

The Company does not charge any fee, deposit or subscription to become or remain an Affiliate Member, and the Affiliate Member is not required to buy any product, inventory or sales kit. Any request for such a payment in the Company's name should be reported to the Grievance Officer.

4. What the Affiliate Member sells

The Affiliate Member introduces customers to the Company's furniture subscription packages, at the prices and on the terms published by the Company. The Affiliate Member shall not change prices, offer unauthorised discounts, collect money from customers in cash or into personal accounts, or make promises not contained in the Company's published terms.

5. Compensation

Commission is earned only on genuine sales of the Company's products and on customers' subscription instalments actually received by the Company, in accordance with the Compensation Plan (Annexure B) in force at the time. No commission, bonus or incentive is paid for recruiting or enrolling other Affiliate Members. Commission is not payable on cancelled, refunded or disputed sales, on self-purchases, or on fictitious or fraudulent transactions, and amounts paid in error may be recovered. The Company may change the Compensation Plan with prior notice to Affiliate Members.

6. Code of conduct

  • I will conduct business ethically and professionally.
  • I will not make false or misleading income claims.
  • I will not misrepresent products or services.
  • I will comply with all company policies and applicable laws.
  • I understand that commissions are based solely on sales of products and services.
  • I will protect customer information and maintain confidentiality.
  • I will not engage in fraudulent, deceptive or unethical practices.
  • I understand that recruitment alone does not entitle me to any commission.

7. Income disclaimer

Income depends on sales performance, customer retention and business activity. The Company does not guarantee any level of income, and past earnings of any Direct Seller do not guarantee future results.

8. Personal data

The Company processes the Affiliate Member's personal data (identity, contact, KYC and bank details) only to verify identity, manage the direct selling relationship, pay commission and meet legal obligations, in line with the Digital Personal Data Protection Act, 2023. The Affiliate Member shall keep customers' information confidential and use it only to serve those customers.

9. Taxes

Tax is deducted at source on commission where required by law (section 194H of the Income Tax Act, 1961). The Affiliate Member is responsible for their own tax filings and, where applicable, GST registration.

10. Grievances

Complaints are acknowledged within 48 hours and resolved within 15 working days (30 working days for complex cases), with escalation to the Grievance Officer, the Nodal Officer and the Management Review Committee.

11. Suspension and termination

Either party may end this agreement by written notice. The Company may suspend or terminate the Affiliate Member, withhold commission under investigation, or take other action for breach of this agreement, the Company's policies or the law, after giving the Affiliate Member an opportunity to respond.

12. Governing law

This agreement is governed by the laws of India, including the Consumer Protection Act, 2019 and the Consumer Protection (Direct Selling) Rules, 2021.

13. Declarations by the Affiliate Member

  • The information in this form is true and correct.
  • I have read and understood the Affiliate Membership Agreement (the Direct Seller Terms & Conditions).
  • I agree to comply with the Consumer Protection (Direct Selling) Rules, 2021.
  • I am an independent contractor and not an employee of the Company.
  • My earnings depend on actual sales performance and customer purchases.
  • The Company may approve or reject my application.
  • The Company may terminate my affiliate membership for violating its policies or the law.
